Who needs it
- Founders in mainland China or Hong Kong who cannot, or prefer not to, travel to Türkiye to sign
- Groups whose Turkish company will be owned and managed from a Hong Kong or mainland holding company
- Companies with several shareholders in different cities, where a joint trip is impractical
- Professional package clients who decide not to sign in person (the add-on is charged on top of the package fee)
What we do
- Drafting the power of attorney in Turkish, with an English version so you can read exactly what you sign
- Wording it to cover the trade registry steps and, where needed, the tax number applications for foreign partners
- Step-by-step instructions for the notary and the apostille in mainland China or Hong Kong
- Receiving the originals in Türkiye and arranging sworn translation and Turkish notary certification
- Preparing the articles of association and the MERSİS application, and acting for the founders at the trade registry
- Handling the managers' signature declarations in the format the trade registry accepts
- Following the registration through to tax office registration and the tax certificate
How the power of attorney route works
Turkish law lets founders act through an attorney holding a notarised power of attorney. A power of attorney signed abroad must carry an apostille (or a Turkish consular certification), and in Türkiye it is translated by a sworn translator and certified by a notary. Our team then signs and files for you, so formation does not wait for anyone’s travel plans.
The apostille is what makes this practical for our clients. Mainland China joined the Apostille Convention in March 2023 and it has applied there since 7 November 2023. Since then, documents notarised in China need only an apostille for use in Türkiye, with no consular legalisation. Hong Kong has been covered by the Convention since 1965: a power of attorney signed before a Hong Kong notary public is apostilled by the High Court Registry.
Each document goes through the same chain: signature before a notary, apostille, courier, sworn translation, Turkish notary. A mistake in the wording or a missing page can mean repeating the chain from the start. That is why we draft every text and check your scans before anything is sent.
Managers who are not in Türkiye
The trade registry needs a signature declaration from each person who will sign for the company. Turkish public databases usually hold no signature record for a foreign manager, so the signature has to be given in a form the registry accepts. For a manager abroad, it is signed before a notary there, apostilled, and then translated and certified in Türkiye, just like the power of attorney. We confirm the exact format with the trade registry before you sign, so that, where possible, one notary visit covers all the documents.
If a company will be a manager or board member, its resolution names the natural person who acts for it. We prepare the resolution wording together with the power of attorney.
One practical point for the management structure: to obtain a financial seal, the company needs a manager who is a Turkish citizen or a foreign national with a Turkish foreigner identity number (starting with 9, for example issued with a residence permit). Take this into account before the managers are appointed.
Price and how it relates to the packages
Formation by power of attorney is an add-on of USD 3,000. Without a package, this is the complete formation service: you pay USD 3,000 and do not also pay the USD 1,250 fee for formation without a power of attorney. Government fees, notary, apostille, translation and courier costs come on top, as in every formation.
The Professional package includes formation in which the founder signs in person in Türkiye. Professional clients who prefer the power of attorney route pay the package fee of USD 4,950 plus the full USD 3,000 add-on, and government fees; the formation included in the package does not reduce it. Tax numbers for foreign partners are a separate service at USD 500 per person, with one foreign partner included in each package; see tax number (ITIN) for foreign partners.
After registration
Registration starts the company’s first deadlines, including e-Tebligat within 15 days of starting business and the beneficial ownership notification within one month. The company formation page explains them. A corporate bank account is a separate add-on, and its timing depends on the bank’s compliance review. For the full sequence from documents to the first tax return, see our company formation guide.
How it works
- 01
Structure and drafts
We agree the company structure with you and send the power of attorney text, the managers' signature declaration text and a document checklist.
- 02
Notary and apostille at home
You sign before a notary. The apostille is issued in mainland China by the Ministry of Foreign Affairs or an authorised local foreign affairs office, and in Hong Kong by the High Court Registry.
- 03
Courier to Türkiye
You send the original apostilled documents to us. Scans in advance let us check them before they travel.
- 04
Translation and certification
A sworn translator translates the documents into Turkish and a Turkish notary certifies the translations.
- 05
Tax numbers and registration
Acting under the power of attorney, we obtain tax numbers for foreign partners if needed, file the application in MERSİS and complete registration at the trade registry.
- 06
After registration
The trade registry notifies the tax office. We follow the start-of-business inspection, the tax certificate and the first deadlines with you.
What you provide
- Passport scans of every individual shareholder and manager

- A visit to a notary to sign the power of attorney: a notary office in mainland China or a notary public in Hong Kong
- The apostille on the notarised documents, from the competent authority where they were notarised
- The original apostilled documents, sent to us in Türkiye by courier
- Government fees, notary, apostille, translation and courier costs, which are paid at cost
Frequently asked questions
Does anyone have to travel to Türkiye?
Not for the formation itself. Opening the company's bank account is a separate step: banks apply their own know-your-customer checks and some may ask to verify the manager in person. That is the bank's decision, and we tell you what the bank asks for.
We chose the Professional package. Is formation by power of attorney included?
No. The Professional package includes formation in which the founder signs in person in Türkiye. If you choose formation by power of attorney, the add-on of USD 3,000 is charged on top of the package fee: USD 4,950 + USD 3,000, plus government fees, with no discount. We mention it now so that there are no surprises later.
Can we use a Turkish consulate instead of a notary and apostille?
Turkish practice accepts documents certified by a Turkish consulate as an alternative to the apostille. Whether the consulate in your city offers this service for Chinese citizens, and on what terms, has to be confirmed with the consulate itself. The route we plan around is a local notary plus apostille.
Does the power of attorney also cover the tax numbers?
It can. For an application by proxy, the power of attorney must specifically grant the authority to obtain the tax number before the tax office, so we include that wording. The tax number itself is a separate service of USD 500 per person; both packages include the application for one foreign partner, and each additional partner is USD 500.
What happens after the company is registered?
The formation power of attorney covers the founders' acts. Some later steps for the company, such as collecting its Digital Tax Office user code, applying for e-Tebligat or receiving the financial seal, need a notarised power of attorney from the company's manager if the manager does not handle them in person (for the financial seal, Kamu SM also accepts a delivery letter from a company signatory). We draft it, and the manager signs it in the same way.
How do we stay in control of what the power of attorney allows?
We draft it for formation and the related tax office steps only, and you receive the full text in Turkish with an English version before you sign. You can ask us to explain or narrow any power.
