Ownership transparency

Beneficial ownership filing

Every Turkish company must tell the Turkish Revenue Administration which individuals ultimately own or control it, and report any change within one month. We trace your holding chain to the people at the top, prepare the notification and file it.

Who needs it

  • Newly registered Turkish companies: the first notification is due within one month of tax registration
  • Companies where a share transfer, a new holding layer or a change of the persons reported has altered the information already filed
  • Turkish companies owned through a Hong Kong, mainland or other foreign holding company, where the individuals behind the holding company are not shareholders of the Turkish company
  • Existing companies that are not sure what was filed in the past

What we do

  • Ownership analysis: we trace the chain from the Turkish company to the individuals, apply the three tests of Communiqué No. 529 and confirm our conclusion to you in writing
  • A document checklist, and review of the registers, ownership charts and identity documents for every layer
  • Preparation and electronic filing of one beneficial ownership notification: the first one for a new company, or one after a change
  • The filing record for your files, and a consistency check with the beneficial owner details in your corporate tax returns

What the rule requires

Türkiye’s beneficial ownership rules are set out in Tax Procedure Law General Communiqué No. 529 (Official Gazette, 13 July 2021). They follow the transparency standards of the OECD Global Forum and the FATF. A beneficial owner is always a natural person: the individual or individuals who ultimately control a company or have ultimate influence over it. A holding company is never the answer.

The Communiqué applies three tests, in this order:

  1. individual shareholders holding more than 25% of the company;
  2. if there are none, or if there is doubt that such a shareholder is the real owner, the individuals who ultimately control the company;
  3. if no one can be identified under the first two tests, the individuals with the highest executive authority.

A company reports this information with its provisional and annual corporate tax returns. In addition, a new tax registration, or any change in information already reported, must be notified within one month. Filing is electronic only: paper is not accepted, and the filing must be approved in the system by 23:59 on the last day. The company itself, or a licensed Turkish CPA (SMMM) under an intermediary agreement, can file.

Holding chains from Hong Kong and mainland China

When a Turkish company is owned through a holding company, for example in Hong Kong, rather than directly by individuals, the first test finds no individual shareholder in the Turkish company. The work then moves to the second test: we look through each layer to the people at the top and establish who ultimately controls the Turkish company.

Two examples:

  • Founder-owned holding. One or more founders own a Hong Kong company, which owns the Turkish company. The founders’ holdings and voting arrangements in the Hong Kong company decide who is reported.
  • Larger or listed groups. Where shares are widely held and no individual can be identified as controlling the company, the persons with the highest executive authority are reported.

Every layer needs a document that shows its owners, so start collecting them as soon as the structure is decided: the one-month period does not wait for paperwork from abroad.

Why it matters beyond the tax office

The same question comes up when you open a company bank account: Turkish banks identify beneficial owners as part of their customer checks. Keeping the answers consistent across the tax office, the bank and the trade registry avoids contradictions that would later need explaining.

The Communiqué also requires the company to keep the information for five years from the start of the calendar year after the notification.

What the fee covers

USD 1,250 covers one notification: the first filing for a newly registered company, or a filing after a change. If the information changes again later and a new notification is required, that is a new service with its own fee. If we keep your books under a Basic or Professional package, we also file the provisional and annual corporate tax returns that carry the beneficial owner information. Setting up a new company? The one-month period starts with tax registration, so plan this filing together with company formation.

How it works

  1. 01

    Ownership chart

Send us the chart and registers by e-mail or WeChat. You can write to us in Chinese or English.

  2. 02

    Turkish test

We apply the three tests in order and confirm in writing who must be reported.

  3. 03

    Preparation

We prepare the notification: names, nationality, ID numbers, addresses and the reason each person is a beneficial owner.

  4. 04

    Filing

We file electronically within the one-month period and approve the filing before 23:59 on the last day.

  5. 05

    Records

What you provide

  • An ownership chart from the Turkish company up to the individuals, with percentages at every level
  • Shareholder registers or equivalent records for each holding company in the chain
  • For each beneficial owner: full name, nationality, passport or ID number and address, plus phone and e-mail if available
  • If no individual holds more than 25%: information on who ultimately controls the company, or on its most senior executives
  • For a change: its date and supporting documents, such as the share transfer agreement or the updated register

Frequently asked questions

Our Turkish company is 100% owned by a Hong Kong company. Is the Hong Kong company the beneficial owner?

No. A beneficial owner is always a natural person. Because the Turkish company has no individual shareholder, the first test (individuals holding more than 25%) finds no one, and the analysis moves to the individuals who ultimately control the Turkish company through the Hong Kong company and any layers above it.

What if no one owns more than 25%?

The Communiqué then looks for the individuals who ultimately control the company. If no one can be identified that way, for example in a widely held listed group, the persons with the highest executive authority are reported.

We already keep beneficial owner records in Hong Kong or mainland China. Is that enough?

No. The Turkish notification is a separate obligation, and the Turkish tests are applied on their own terms. Existing records, such as a Hong Kong company's significant controllers register, are a useful starting point.

Is the information made public?

The notification goes to the Turkish Revenue Administration. Communiqué No. 529 does not create a public register.

What happens if we do not file, or file wrong information?

The Communiqué applies the penalty provisions of the Tax Procedure Law to companies that do not file, or that file incomplete or misleading information. Errors found by tax inspectors or the Financial Crimes Investigation Board (MASAK) are reported to the Revenue Administration for penalties and corrections. A filing that turns out to be wrong is corrected by filing again.

Why does our bank ask the same questions?

Turkish banks must identify the beneficial owners of their customers under the anti-money-laundering rules, and licensed Turkish CPAs such as ETITAX are obliged parties under the same rules. Consistent answers to the tax office, the bank and us help avoid follow-up questions.
